Agreement
By using the VertiLeads marketing website or creating an account on app.vertileads.com (including via email/password or Google sign-in), you agree to these terms. The application may present additional product terms, acceptable-use rules, or order forms at signup or checkout; those control for paid product use where they conflict with this page. If you use the service on behalf of an organization, you represent that you have authority to bind that organization.
Services
VertiLeads provides B2B company discovery against industries, locations, and ICP you configure; contact quality checks; CSV export; billing; and related GTM tools. Free plans include discovery and export within monthly new-lead limits and do not include connected inboxes. Paid plans may include connecting Gmail via OAuth so you can schedule outreach (up to two send days per week) from your own mailbox using templates you configure, including optional reply-aware follow-up based on delivery/reply metadata for known recipients. Features, pricing, lead allocations, seat limits, inbox limits, and availability may change. Marketing pages describe intended product behavior and are not a guarantee of uninterrupted or error-free service, match rates, or deliverability.
Accounts and plans
You must provide accurate account information and keep credentials and connected accounts secure. Plan limits (including new leads per month, team seats, and connected inboxes) apply as shown at purchase or in the product billing screen. “New leads” means companies newly allocated to your workspace in a billing period as defined in the product. Unlimited search, filtering, and re-export of saved results do not remove new-lead caps. Free accounts cannot connect an inbox for scheduled send. Workspace owners and admins are responsible for seats, billing changes, and members they invite.
Company data and automated research
Company and related lead data are produced from public web sources and automated research (including third-party search APIs and language models) against the industries, locations, and ICP you configure. Data can be incomplete, outdated, duplicated, or inaccurate. Quality checks reduce—but do not eliminate—bad or risky contacts. You are solely responsible for how you use exported or displayed data, including compliance with laws governing marketing, privacy, employment outreach, and any industry-specific rules in your jurisdiction. VertiLeads is not a consumer reporting agency and does not provide credit, background, or employment screening. VertiLeads does not guarantee match rates, email deliverability, reply rates, or business outcomes. Scheduled outreach only emails contacts that pass our quality checks at send time; CSV exports may include contacts that are not ready to auto-email.
Third-party identity and mailbox providers
Google sign-in and Gmail mailbox connection are provided through Google. Your use of those features is also subject to Google’s terms and policies. We do not control Google account suspensions, OAuth consent prompts, API quotas, or deliverability of mail sent through your Gmail account. Stripe processes payments under Stripe’s terms. Outages or policy enforcement by those providers may interrupt parts of the service without liability to VertiLeads beyond what these terms otherwise allow.
Inbox connection and outreach
If you connect a mailbox, you authorize VertiLeads to send email through that mailbox as you configure (including automatic email to new leads when enabled) and to access delivery/reply metadata needed for suppression and optional follow-up. You must only connect accounts you are authorized to use. You are solely responsible for message content, recipients, frequency, required legal notices, unsubscribe handling, and any complaints, blocks, or account actions that result. Do not use the service to send unlawful, deceptive, harassing, or spam messages. We may rate-limit, suspend sending, disconnect inboxes, or terminate accounts that create abuse, deliverability, or legal risk.
Acceptable use
You agree not to misuse the site or application, attempt unauthorized access, probe or disrupt security or rate limits, scrape beyond permitted product use, resell raw data dumps in violation of provider or license terms, reverse engineer the service except where prohibited restrictions are disallowed by law, or use contact forms for spam. Automated access must respect rate limits and security controls.
Payment
Paid subscriptions are billed through our payment processor. Fees are generally non-refundable except where required by law or expressly stated at purchase. Plan upgrades may be prorated as shown in the product; downgrades and cancellations follow the billing controls available in-app or via the Stripe customer portal. Failure to pay may result in suspension or reversion to Free limits.
Indemnity
You will defend and indemnify VertiLeads and its operators against claims, damages, and costs (including reasonable attorneys’ fees) arising from your content, your outreach, your use of company/lead data, your violation of these terms or applicable law, or your connection of a mailbox you are not authorized to use—except to the extent caused by our willful misconduct.
Disclaimer and limitation
The marketing site and product are provided as-is and as-available, without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law. To the fullest extent permitted by law, VertiLeads is not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost data, reputational harm, mailbox suspension, spam placement, or outreach outcomes arising from use of the service. Our aggregate liability for claims relating to the service is limited to the greater of (a) amounts you paid to VertiLeads for the service in the twelve (12) months before the claim or (b) one hundred U.S. dollars (US$100), except where liability cannot be limited under applicable law.
Suspension and termination
We may suspend or terminate access for non-payment, abuse, legal risk, or material breach of these terms. You may stop using the service at any time. Provisions that by their nature should survive (including payment obligations already incurred, indemnity, disclaimers, and limitations) survive termination.
Changes
We may update these terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance of the updated terms. Material changes to paid plans will also be reflected in the product billing experience where practicable.
